1.Acceptance of these Terms

These Terms of Service (the "Terms") form a binding agreement between you ("you" or the "user") and health.systems, a brand operated by Enterprise.Systems, a company organized under the laws of the State of Israel ("we", "us", "our", or the "Company"). They govern your access to and use of the checkup.report website, applications, and related services (together, the "Service").

By creating an account, completing a scan, or otherwise using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Service.

2.The Service

checkup.report is a consumer wellness application that uses your phone or device camera to take a short, contactless reading using remote photoplethysmography (rPPG) — a technique that estimates signals such as heart rate from subtle colour changes in your skin captured by the camera. From these readings, the Service produces general wellness metrics (which may include heart rate, respiration rate, heart-rate variability, and a stress index) and presents your trends over time.

The Service is intended only to help you observe your own everyday wellness patterns. The metrics are estimates derived from camera signals; they are not clinical measurements and their accuracy depends on lighting, movement, camera quality, and other factors outside our control.

3.General Wellness & Not a Medical Device

checkup.report is intended only for general wellness purposes. Consistent with the U.S. Food and Drug Administration's policy on general wellness products, the Service is intended to help you maintain or encourage a general state of health or a healthy activity. It does not diagnose, treat, cure, mitigate, or prevent any disease or condition.

This applies equally to every feature of the Service, including the optional voice check-in (which reflects the sound qualities of your voice — its energy, pace, and steadiness — and is never an assessment of your mood or mental state), the guided breathing sessions, and the post-activity recovery snapshot (which show your own before-and-after wellness readings — never a fitness score, VO₂ estimate, or clinical measurement). Every reading is compared only against your own earlier readings, never against a clinical standard.

• The Service is not a medical device and is not intended to be used as one.
• The Service does not provide medical advice, a medical diagnosis, or a clinical assessment.
• Outputs are not a substitute for professional medical judgment, examination, diagnosis, or treatment.
• You should never disregard, avoid, or delay obtaining medical advice from a qualified provider because of anything you read or see in the Service.
• The Service is not intended for use in clinical decision-making, emergencies, or for monitoring of any medical condition.

If you experience symptoms or have concerns about your health, contact a qualified healthcare professional. In an emergency, call your local emergency number.

4.Eligibility & Age

You must be at least 18 years old to use the Service. If you are under 18, you may use the Service only with the verifiable consent and supervision of a parent or legal guardian who agrees to be bound by these Terms on your behalf. The Service is not directed to, and we do not knowingly collect information from, children. By using the Service you represent that you meet these requirements and have the legal capacity to enter into these Terms.

5.Accounts & Verification

To use the Service you must create an account using a valid email address and complete phone-number verification. You agree to provide accurate information and to keep it up to date. You are responsible for safeguarding your account credentials and for all activity that occurs under your account. Notify us promptly at [email protected] if you suspect any unauthorized use.

New accounts receive one free scan. Continued use requires either a recurring subscription or per-scan payment, as described in Section 8. We may limit accounts to one per person and may refuse, suspend, or reclaim accounts that appear to be duplicated, fraudulent, or created to abuse the free scan.

6.Acceptable Use

The Service is provided for your personal, non-commercial wellness use only. You agree that you will not, and will not permit anyone else to:

• use the Service for any clinical, diagnostic, medical, or research purpose, or to make decisions about the health or treatment of yourself or any other person;
• use the Service to take readings of any person who has not consented, or of anyone under 18 without parental consent;
• redistribute, resell, publish, or commercialise data, outputs, or reports generated by the Service;
• reverse engineer, decompile, scrape, or attempt to extract the underlying models, source code, or algorithms;
• interfere with, disrupt, overload, or attempt to gain unauthorized access to the Service or its infrastructure;
• use the Service in violation of any applicable law or the rights of others, or to upload malicious code.

We may investigate and take appropriate action, including suspending or terminating accounts, for any violation of this Section.

7.Intellectual Property

The Service and all of its content, software, models, designs, text, graphics, logos, trademarks, and other materials are owned by health.systems / Enterprise.Systems or its licensors and are protected by intellectual-property laws. We grant you a limited, personal, non-exclusive, non-transferable, revocable licence to use the Service for your own wellness purposes in accordance with these Terms. No other rights are granted. All rights not expressly granted are reserved.

You retain ownership of the personal data you provide. You grant us the limited rights to process that data as needed to operate and improve the Service, as described in our Privacy Policy.

8.Pricing, Payment & Renewal

8.1 Plans

After your one free scan, you may continue with a recurring subscription or a per-scan purchase. Current prices are shown in the Service before you pay. Prices are exclusive of any applicable taxes unless stated otherwise.

8.2 Payment processing

Payments are processed by PayPal. We do not receive or store your full payment-card details. Your use of PayPal is subject to PayPal's own terms and privacy policy. You authorise us and PayPal to charge your selected payment method for the plan you choose.

8.3 Auto-renewal

Subscriptions automatically renew at the end of each billing period at the then-current price, until cancelled. By subscribing, you authorise these recurring charges.

8.4 Cancellation

You may cancel at any time through your account settings or by contacting [email protected]. Cancellation stops future renewals; you retain access until the end of the current paid period.

8.5 Refunds

Except where required by applicable law, payments are non-refundable, and we do not provide refunds or credits for partial billing periods, unused scans, or partially used subscription periods.

8.6 Referral & Affiliate Program

We may offer a referral program that rewards you and a friend you invite with free-scan credits. Where the program is available, the following terms apply:

• Eligibility. A reward is earned only for a unique, genuine referred user — one reward per referred person. Self-referral is not permitted, including referring yourself, referring a second account you control, or referrals originating from the same device or account.
• What is granted. When a friend you refer creates an account and completes phone verification, you and your friend each receive one free single check-in credit. This is a usage credit only: it is not cash, has no cash value, is not redeemable for money, and is not transferable.
• Fraud & abuse. We reserve the right to withhold or revoke referral credits — including credits already granted — where a referral appears fraudulent or abusive, including (without limitation) device-fingerprint abuse, fake or automated verification, or attempts to circumvent the self-referral rule. If a credit has already been used for a check-in, that completed check-in is not reversed and you are not charged; the revocation applies only to any remaining unused credit.
• Program changes. We may modify, suspend, or discontinue the referral program, or change its rewards or rules, at any time. Changes apply prospectively and do not retroactively revoke credits already earned in good faith, except in cases of fraud or abuse as described above.

8.7 Developer API & Third-Party Integrations

You may generate one or more API keys from your account to let software you choose — your own, or an external platform — use the Service on your behalf. Where you do, the following terms apply in addition to the rest of these Terms:

• Your key, your account, your usage. An API key belongs to your account and acts as you. Anything done with it counts as your usage and draws on your existing balance — your weekly free check-in, purchased credits, or active subscription. There is no separate developer pricing: a check-in through the API costs exactly what the same check-in costs in the app, and when your balance is exhausted the API refuses in the same way the app does. You are responsible for keeping your key secret and for all activity carried out with it. We store only a hashed form of each key, so we cannot recover or re-display a key once it is created; if a key is lost or exposed, revoke it and create a new one.
• A platform you connect is your choice, not our partner. If you use a key to connect your account to an external platform, that platform is not our subprocessor, partner, agent, or affiliate, and its use of your data is not governed by our agreements with the service providers listed in our Privacy Policy. We do not control, review, endorse, or take responsibility for how that platform stores, displays, secures, shares, or otherwise handles anything it retrieves through the API, or for anything it builds on top of it. Your relationship with that platform — including its own terms and privacy practices — is between you and it. You should review those practices before connecting.
• Scopes and limits. Each key carries only the capability groups you select when you create it, and a request outside them is refused. Keys are also subject to a per-key request rate limit, which exists to protect the Service for everyone and is not a limit on what you may spend from your own balance.
• The wellness boundary applies identically. Everything the API returns is general wellness content and is subject to Section 3 in full. It is not a diagnosis, not a clinical measurement, and not medical advice, whether read in the app or retrieved through the API. Narrative content is screened before it leaves our systems, and you may not attempt to bypass, strip, or defeat that screening, or present anything retrieved through the API as a medical measurement, a diagnosis, or a basis for starting, stopping, or changing any treatment.
• Prohibited use. You may not use an API key to access any account other than your own; to collect, resell, redistribute, or sublicense the Service's outputs — including its AI-generated narratives — as though they were your own or another party's, or without attribution to checkup.report; to build a product that reproduces or substitutes for the Service in competition with it; to circumvent rate limits, scope restrictions, allowance gating, or any other technical control; or for anything already prohibited by Section 6.
• Revocation. You may revoke any of your keys at any time from your account; revocation takes effect immediately. We may likewise suspend or revoke a key, or access to the API generally, where we reasonably believe it is being used in breach of these Terms, abusively or fraudulently, or in a way that risks the security or stability of the Service — with notice where practicable, and without prior notice where the severity or urgency warrants it. We may also change, limit, or discontinue the API itself, prospectively, as described in Section 16.
• Telling your own users. If you make the Service available to other people through your product, you must disclose to them that checkup.report provides the underlying wellness measurements and content — clearly, where they see the results, not buried in a settings page. When you create a key you state the wording you will use, and that statement is recorded with the key. We cannot technically verify what your product displays, so this is a commitment you give and we rely on; failing to honour it is a breach of these Terms and a ground for revoking your access.
• High-volume use. Once a single key passes the published monthly call threshold, we ask its owner for a one-time acknowledgment of these Developer API terms from their account. Until it is given, that key is rate-limited more tightly rather than blocked, so a working integration slows down instead of stopping. This is a check that a real product has been built on the Service and that the person operating it has read this section — not an additional charge and not a negotiation.
• Disconnection is not retrieval. Revoking or deleting a key stops future access. It does not reach back into data an external platform already retrieved before revocation, and neither does deleting your checkup.report account: our erasure obligations, including your GDPR rights, cover our own systems, not copies that already exist elsewhere. To have such copies deleted, contact that platform directly under its own policy and applicable law.

9.Privacy & Data

Your privacy matters to us. Our handling of personal data — including what we collect, how we use it, your rights, and our security measures — is described in our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you acknowledge the practices described there. Notably, raw camera video frames are processed in real time and are not stored.

10.Disclaimers & No Warranty

The Service is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, to the fullest extent permitted by law. We expressly disclaim all implied warranties, including merchantability, fitness for a particular purpose, title, and non-infringement.

• We do not warrant that the Service or any wellness metric is accurate, reliable, complete, or error-free. Readings are estimates and may be affected by lighting, motion, device, skin tone, and other factors.
• We do not warrant that the Service will be uninterrupted, secure, or available at any particular time or location.
• You assume full responsibility for any health, lifestyle, or other decisions you make based on information from the Service. We are not responsible for outcomes resulting from such decisions.

No advice or information obtained from the Service creates any warranty not expressly stated in these Terms.

11.Limitation of Liability

To the fullest extent permitted by law, the Company and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of data, profits, revenue, goodwill, or for any health-related harm arising from or related to your use of, or inability to use, the Service — even if advised of the possibility of such damages.

To the fullest extent permitted by law, our total aggregate liability for all claims relating to the Service will not exceed the greater of (a) the total amount you paid us in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) USD $50.

Some jurisdictions do not allow certain limitations; in those jurisdictions our liability is limited to the greatest extent permitted by law. Nothing in these Terms limits liability that cannot be limited by law.

12.Indemnification

You agree to indemnify, defend, and hold harmless the Company and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use or misuse of the Service; (b) your violation of these Terms or any applicable law; (c) your violation of the rights of any third party, including taking readings of another person without consent; or (d) any health or other decision made based on the Service.

13.Termination

You may stop using the Service and delete your account at any time through your account settings or by contacting us. Upon deletion, we handle your data as described in the Privacy Policy.

We may suspend or terminate your access, with or without notice, if you violate these Terms, if we are required to by law, or if we discontinue the Service. Provisions that by their nature should survive termination (including Sections 7, and 10–17) will survive.

14.Governing Law

These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of the State of Israel, without regard to its conflict-of-laws rules. This choice of law does not deprive consumers of protections that cannot be waived under the mandatory law of their country of residence.

15.Dispute Resolution & Arbitration

If a dispute arises, the parties will first attempt to resolve it through good-faith negotiation. Either party may begin this process by sending written notice describing the dispute to [email protected].

If the dispute is not resolved within sixty (60) days, it will be finally settled by binding arbitration seated in Israel, conducted in accordance with the applicable Israeli arbitration rules, before a single arbitrator, and (unless the parties agree otherwise) in the English or Hebrew language. Judgment on the award may be entered in any court of competent jurisdiction. Nothing here prevents either party from seeking injunctive or equitable relief from a competent court to protect its intellectual-property or confidentiality rights. Where mandatory consumer law gives you the right to bring proceedings in your local courts, this clause does not remove that right.

16.Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will provide at least thirty (30) days' notice by email to the address associated with your account and/or by notice within the Service before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree, you may stop using the Service and delete your account before the changes take effect.

17.General Provisions

17.1 Severability

If any provision of these Terms is held invalid or unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

17.2 Entire agreement

These Terms, together with the Privacy Policy and any plan-specific terms presented at purchase, constitute the entire agreement between you and the Company regarding the Service and supersede all prior agreements on that subject.

17.3 Waiver

Our failure to enforce any right or provision will not be a waiver of that right or provision. Any waiver must be in writing to be effective.

17.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganisation, or sale of assets.
